The motherboard looks like it got kind of skimpy ratings on NewEgg, but it's hard to go wrong with Athlon 64, and the combo price is less than that of a new Athlon 64 3500+ (Clawhammer core, but the combo is the same price as a 3500+ Venice core retail CPU) by itself. If you go for it, I'd run the CPU under a lot of stress ASAP, so that in the rare event that you get a bad one, you'll know it before the manufacturer's short warranty expires.

Thank . But I think they only complain about the MGP slot ,it doesn't matter with me since I use an 6200 and I think it can run fun speed even with an AGP 4x 
And what is the difference between Clawhammer and Venice .I heard that Venice is more effect than Clawhammer and have SSE3 (do I need it ?I didn't see the difference between the P4 2.4 Northwood and the P4 2.4 Prescott )

Clawhammer is a bit older than Venice, and is overall not quite as fast as a Venice chip of the same clock speed, but I think the Clawhammers that have the same ratings as their Venice counterparts have more cache space to make up some of the performance difference. IIRC, the Venice might have a better memory controller too. If you're overclocking, Venice is definitely the way to go; if not, it probably won't be an enormous difference (if the ratings are the same), though I think the Venice would perform better than a Clawhammer of the same rating.
EDIT: You're right about SSE3 - Venice has it, but not Clawhammer. Some graphics applications (such as games) and video processing applications can take advantage of SSE3 instructions to increase performance, so you'll be the best judge of whether or not you use applications that would benefit from it or not.
